Terms of Service

These Terms of Service (“Terms”) govern your use of tottenprep.com (the “Site”) and all products and services offered by Totten Prep LLC (“we,” “us,” or “our”), a Delaware limited liability company. By accessing or using the Site, you agree to be bound by these Terms.

1. Products and Services

• Ethics Chapter ($19) — downloadable study notes
• Founder’s Notes ($79) — comprehensive topic-by-topic study notes with practice questions and AI study assistant access
• Working Pro System ($349) — complete preparation system including notes, video lessons, question bank, mock exams, and live office hours

All products are digital and delivered electronically. Product descriptions, pricing, and availability are subject to change without notice.

2. Purchases and Payment

• All purchases are processed through Gumroad and/or Stripe.
• Prices are listed in US dollars unless otherwise stated.
• You are responsible for any applicable taxes.
• By completing a purchase, you represent that you are authorized to use the payment method provided.

3. Refund Policy

Digital Products (Ethics Chapter, Founder’s Notes): Because these are downloadable digital products, all sales are final. No refunds will be issued after delivery. If you experience a technical issue preventing access, contact us at hello@tottenprep.com and we will resolve the issue.

Working Pro System: We offer a 14-day satisfaction guarantee from the date of purchase. If you are not satisfied, email hello@tottenprep.com within 14 days for a full refund. After 14 days, no refunds will be issued. Refund requests must be made by the original purchaser.

4. Account and Access

• You are responsible for maintaining the confidentiality of your account credentials and any access links provided.
• Product access is for your personal, individual use only. You may not share, distribute, resell, or sublicense access to any product or service.
• We reserve the right to terminate or suspend access to any user who violates these Terms.

5. Intellectual Property

Our Content

All content on the Site and in our products — including text, graphics, videos, questions, explanations, study materials, and software — is the property of Totten Prep LLC and is protected by copyright and intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display our content without prior written permission.

CFA®, Chartered Financial Analyst®, and CFA Institute® are registered trademarks owned by CFA Institute. Totten Prep LLC is not affiliated with, endorsed by, or sponsored by CFA Institute. Our use of these terms is solely for purposes of identification and description of our exam preparation services.

6. No Guarantee of Results

IMPORTANT: Totten Prep does not guarantee, promise, or imply that you will pass the CFA Level 1 exam or any other examination as a result of using our products or services. Exam results depend on many factors beyond our control, including your study habits, prior knowledge, time invested, and exam conditions. See our full Disclaimer for more details.

7. “Ask Landon AI” Study Assistant

• The AI assistant is a supplemental study tool, not a replacement for thorough exam preparation.
• AI-generated responses may contain errors. Always verify information against official CFA Institute curriculum materials.
• Do not submit sensitive personal, financial, or confidential information to the AI assistant.
• AI assistant access is subject to availability and may be modified or discontinued at our discretion.

8. User Conduct

You agree not to:

• Use the Site or products for any unlawful purpose
• Share, redistribute, or resell any purchased content
• Attempt to reverse-engineer, decompile, or extract source code from any product
• Use automated systems (bots, scrapers) to access the Site or products
• Impersonate another person or misrepresent your affiliation
• Post false reviews or testimonials about our products

9. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTTEN PREP LLC AND ITS MEMBER, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Totten Prep LLC, its member, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site, violation of these Terms, or infringement of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on the Site with an updated effective date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.
